Acceptance of Terms

These Terms & Conditions (“Terms”) govern access to and use of the Bonocle Platform, including the BoQuest student application and the BoDesk teacher dashboard (together, the “Platform”). By using the Platform, Schools, Teachers, and Students agree to these Terms.

1. Definitions

“Bonocle” means Bonocle Tech Inc.

“Platform” means BoQuest and BoDesk, collectively.

“School” means any school, district, or educational institution that enters into an agreement with Bonocle.

“Teacher” means an educator authorized by a School to access and use the Platform.

“Student” means a learner authorized by a School or Teacher to access the Platform.

2. Eligibility and Accounts

Teachers must provide accurate information when creating accounts.

Students may create accounts with anonymized usernames.

Schools and Teachers are responsible for ensuring compliance with applicable laws regarding minors’ access and parental consent.

3. License Grant

Bonocle grants Schools, Teachers, and Students a limited, non-exclusive, non-transferable license to access and use the Platform solely for educational purposes.

4. Data Ownership and Use

Schools own all Student and Teacher data submitted through the Platform.

Bonocle acts as a service provider and may use anonymized and aggregated data for analytics, research, and marketing purposes.

Bonocle will not use personally identifiable information for marketing.

5. Intellectual Property

All intellectual property rights in the Platform, including software, curriculum content, and related materials, are and remain the exclusive property of Bonocle. No rights are granted except as expressly stated in these Terms.

6. Acceptable Use

Users may not:

Use the Platform for unlawful purposes;

Attempt to reverse engineer, copy, or resell the Platform;

Interfere with the operation or security of the Platform;

Share access credentials without authorization.

7. School Consent for Minors

Schools are responsible for obtaining any necessary parental or guardian consent before allowing Students to access the Platform, in compliance with COPPA (U.S.) and PIPEDA (Canada).

8. Service Availability

Bonocle makes reasonable efforts to ensure the Platform is available, but does not guarantee uninterrupted or error-free operation.

9. Indemnification

Schools and Teachers agree to indemnify and hold harmless Bonocle, its officers, directors, and employees from any claims, damages, or expenses arising from misuse of the Platform.

10. Limitation of Liability

To the fullest extent permitted by law, Bonocle is not liable for indirect, incidental, special, or consequential damages arising from use of the Platform.

11. Modifications to Terms

Bonocle may update these Terms at any time by posting the revised version on its website or within the Platform. Continued use of the Platform constitutes acceptance of the updated Terms.

12. Governing Law

These Terms will be governed by and construed in accordance with the laws of the Province of Ontario, Canada.

Where Bonocle enters into a direct written agreement with a U.S. school or district, the governing law may be amended to that state’s law as agreed by the parties.

13. Miscellaneous

Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire agreement between Bonocle and Users.

Severability: If any provision is found invalid or unenforceable, the remaining provisions will remain in effect.

Assignment: Users may not assign their rights under these Terms without Bonocle’s prior written consent.
